TERMS OF USE
1. General Provisions
1.1. By using this website (“Platform”) and engaging with Rapport, you (the User) agree to the terms outlined in this Terms of Use agreement (“Agreement”).
1.2. The User is required to carefully review the Agreement before using the Platform. By accessing any part of the Platform, the User consents to the terms of the Agreement with Rapport. If you do not agree with the terms of the Agreement (either fully or partially), we ask that you refrain from using the Platform, including any information posted on it and any services provided by Rapport.
1.3. The terms of the Agreement apply to all Users of the Platform, including Users who do not have an account on the Platform (unregistered Users) and Users who have an account on the Platform. An account is understood as a set of User information and authorization data (login, password).
1.4. By using the Platform and accepting the Agreement, the User confirms that they are at least 16 years old and possess full legal capacity to enter into the Agreement. If the User has not reached the required age or does not have full legal capacity to enter into the Agreement, further use of the Platform requires consent from the User’s legal representative. Rapport may request proof from the User at any time of their age and full legal capacity or that their legal representative has consented to their entering into the Agreement and using the Platform. If the User is unable to provide such proof, Rapport reserves the right to immediately block and/or delete the User’s account and terminate the Agreement.
1.5. If the laws of the User’s country of residence or location prohibit the use of the Platform for any reason, the User should not use the Platform; if they continue to do so, they do so at their own risk and responsibility. In this case, all terms of the Agreement remain in effect.
- Prohibitions and Responsibility
2.1. Access to the Platform’s functions, including its features and services provided by Rapport, is only available to registered Users (those who have created an account).
2.2. If the User believes that there is information on the Platform that infringes their rights, the User is required to notify Rapport and provide information supporting the claim of infringement. In the event that the User provides false information about the violation of their rights, they shall bear full responsibility for any damages caused to Rapport.
2.3. When using the Platform, the User is prohibited from:
2.3.1. creating more than one account on the Platform in the same status (as a regular User or as a Specialist);
2.3.2. registering an account on behalf of or instead of another person;
2.3.3. inciting or promoting religious, racial, or interethnic hatred;
2.3.4. engaging in actions that violate the rights, freedom, honor, and dignity of any person, including other Platform Users;
2.3.5. posting information (including any materials) that violates copyright, trademark rights, industrial property rights, and/or rights to other intellectual property owned by Rapport and/or third parties;
2.3.6. posting information that violates the rights and legal interests of third parties;
2.3.7. posting pornographic materials or materials prohibited by legislation on public morality;
2.3.8. collecting, organizing, storing, or distributing personal information of other Users’ accounts without legal authorization;
2.3.9. attempting to gain access to another User’s account and/or login and password by any means, including but not limited to deception, abuse of trust, or guessing login and password;
2.3.10. posting computer viruses and/or programs capable of interrupting or disrupting the normal functionality of any person’s computer equipment and/or software, as well as telecommunications systems, either of other persons or of the Platform itself.
2.4. User Responsibility:
2.4.1. The User is solely responsible for any use of information posted on the Platform;
2.4.2. The User is solely responsible to third parties for their actions or inactions while using the Platform;
2.4.3. The User undertakes to independently and at their own expense resolve any claims from third parties related to the actions or inactions of the User while using the Platform;
2.4.4. Unless proven otherwise by the User, any actions on the Platform performed using their account and/or login and password are considered to have been carried out by the User. The User is fully responsible for such actions, their consequences, and results, including if the User authorized the use of their account by a third party;
2.4.5. If the User posts information on the Platform that violates the Agreement or the current legislation of Ukraine, Rapport has the right, without prior notice and at its discretion, to block access to such information for the period necessary to determine the legality of posting and using such information on the Platform;
2.4.6. In the event of a violation of the terms of the Agreement, Rapport has the right to block the User’s access to the Platform and/or their account, and, if necessary, delete the User’s account on the Platform.
2.5. Responsibility of Rapport:
2.5.1. Rapport is not responsible for the use of information posted by the User on the Platform by third parties, including its copying, reproduction, and distribution, whether within the Platform or through other possible means;
2.5.2. Rapport is not liable for direct or indirect damages caused to the User or third parties as a result of the use or non-use, including the inability to use the Platform;
2.5.3. Rapport does not assume the obligation to verify, modify, or control information posted by the User on the Platform, nor does it guarantee or bear responsibility for the accuracy, legality, or suitability of the posted information in relation to the specific queries and needs of Platform users;
2.5.4. Rapport is not responsible for the content of third-party websites, links to which may be present on the Platform, and does not guarantee their availability, compliance, or correct functioning.
- Platform Usage Rules
3.1. The purpose of the Platform is to assist mental well-being professionals (“Specialists”) in organizing and optimizing their professional activities.
3.2. Each Specialist uses the Platform to provide services to their clients, who are Users of the Platform. Rapport, however, is not a provider of medical, wellness services, or any other services related to mental well-being and is not responsible for any appointments made by Specialists. The User receives relevant services and appointments solely from the Specialist.
3.3. Rapport is not responsible for the services provided to the User by the Specialist, nor for the content on the Platform posted by the Specialist. The respective Specialist assumes full and direct responsibility for any harm caused to the User by the services provided or the information given.
3.4. By accepting the Specialist’s invitation to register on the Platform and registering an account via the Specialist’s link on the Platform, the User agrees that they are voluntarily and knowingly entering into a relationship with the Specialist, with Rapport not being a party to this relationship.
- Intellectual Property
4.1. A User who posts any information on the Platform containing intellectual property objects, including text, graphic images, audio and video products, computer programs, databases, trademarks, etc., guarantees that the uploading, copying, and use of this information and/or intellectual property objects posted on the Platform does not and will not infringe the rights of third parties or other Users of the Platform.
4.2. The Agreement does not grant the User any proprietary rights to any intellectual property objects belonging to Rapport or third parties. The proprietary rights to such objects belong solely to Rapport and/or the respective third party.
4.3. The intellectual property rights to the content (information, materials, images, videos, logos, graphics, etc.) posted on the Platform belong to Rapport.
4.4. In the case that the User uses intellectual property objects owned by Rapport, Rapport grants the User a limited, non-exclusive, revocable license to access the relevant objects. The term of such a license is determined by the term of this Agreement, and the geographic scope of the license is global. However, by granting the right to use the intellectual property objects, Rapport does not transfer any intellectual property rights to these objects and does not grant permission for their use for purposes other than those specified in the Agreement or a separate agreement between the User and Rapport.
- Confidentiality
5.1. The User confirms that they have read and fully accepted the terms of the “Privacy Policy” between them and Rapport, which is available at the following link: https://rapport.com.ua/privacy-policy/.
- Other Terms
6.1. Rapport has the right to make changes to the Agreement unilaterally without prior notice to Users. However, in the case of significant changes to the Agreement, Rapport will additionally notify the User of these changes electronically. All changes to the Agreement take effect immediately (from the moment the updated version of the Agreement is published). By using the Platform or the services of Rapport, the User confirms their agreement with the new terms of the Agreement as of the version in effect at the time the User uses the Platform or Rapport’s services.
6.2. Rapport is not liable for any harm or damages suffered by the User or third parties as a result of any misunderstanding or misinterpretation of the terms of the Agreement.
6.3. In the event that any part of the Agreement is deemed invalid, the remaining parts of the Agreement shall remain in effect. A waiver by the User or Rapport of any provision or condition of the Agreement, or any breach thereof, shall not cancel the validity of the Agreement as a whole.
6.4. The Platform is provided “AS IS.” Rapport does not guarantee that the Platform meets the goals and expectations of the User. Rapport is not liable for the uninterrupted and error-free operation of the Platform, nor for the security of the User’s account and information posted by the User on the Platform.
6.5. Rapport is not liable for any losses or damages that may arise from using or being unable to use materials on this website, including the loss of data or income, regardless of the nature of such damages (direct, indirect, incidental, or otherwise). Even if Rapport has been informed of the possibility of such losses, the company is not liable for their occurrence.
6.6. Rapport may, at any time and without notifying the User, assign its rights under the Agreement to a third party.
6.7. The Agreement and the relationship between Rapport and the User are governed by the laws of Ukraine. Each party fully agrees that the courts of Ukraine have exclusive jurisdiction over any claims and disputes relating to the Agreement.
